These terms are an agreement between you and Bellum Solutions O/A Desk Anchor ("DeskAnchor", "we", "us"), of 1090 Millwood Court, Orleans, Ontario K1C 3G1, Canada. They cover your use of the DeskAnchor software and website.
By creating an account you agree to them. If you are agreeing on behalf of a business, you confirm you are allowed to bind that business.
1. What DeskAnchor is
DeskAnchor is business management software delivered over the internet. It includes invoicing, quotes, point of sale, purchase orders, expenses, scheduling, time tracking, payroll calculation and email.
We provide the software. We do not provide accounting, tax, legal or payroll advice, and nothing the software calculates is a substitute for professional advice. You are responsible for the accuracy of what you file and what you send to your own customers and employees.
2. Your account
You need an account to use DeskAnchor. You must give accurate information and keep it up to date — including your business address, which determines the sales tax on your invoices from us.
You are responsible for everything done under your account, and for keeping passwords secret. Tell us straight away if you think someone else has got in.
You must be at least 18 and able to enter a contract.
3. Your data is yours
Everything you put into DeskAnchor — your clients, invoices, products, employees, documents and email — belongs to you. We do not own it and we do not sell it.
We access it only to run the service, to fix a problem you have asked us to fix, or where the law requires it. Where a member of our staff can see your workspace to help you, the software asks for your agreement first and records that it happened.
You can export your data at any time while your account is open.
4. Free trial
New accounts get a 14-day free trial. We verify your card when you sign up but do not charge it during the trial.
At the end of the trial your first invoice is raised automatically unless you have cancelled before then.
5. Fees, billing and tax Fees are shown on our website and in your account before you are charged, in Canadian dollars. You choose monthly or yearly billing at signup. We invoice at the start of each period. Additional user seats are charged per seat. Adding a seat part way through a period is charged for the remainder of that period only. Applicable GST/HST is added at the rate for the province of your business address, as required by the Canada Revenue Agency's place-of-supply rules. Our GST/HST registration number appears on every invoice. Any discount or promotional code applies as described when you accepted it, and to the plan charge only — not to additional seats.
We may change our prices. If we do, we will tell you at least 30 days beforehand, and the new price applies from your next renewal. You can cancel before then if you do not want to continue.
6. If a payment fails
If a payment does not go through we will email you and try again — the next day, then three days later, then seven days after that. If the fourth attempt fails we suspend the account.
A suspended account cannot be signed into, but nothing is deleted. As soon as a payment succeeds it reopens exactly as it was. You can update your card yourself at any time in Settings, and doing so retries the outstanding payment immediately.
7. Cancelling
You can cancel at any time from Settings. Your access continues until the end of the period you have already paid for, and you will not be charged again. You can undo a cancellation before that date.
We do not give refunds for partial periods, because you keep the service until the period ends. If you think you have been charged in error, contact us — we would rather sort it out than have you dispute it with your bank.
We may suspend or close an account that breaks these terms, does not pay, or is being used in a way that risks harm to others or to the service. Except where the problem is serious or urgent, we will tell you first and give you a chance to put it right.
8. What happens to your data when you leave
When an account closes, your data is kept but locked. It is not deleted automatically. You can ask us to erase it and we will, and you can ask us to reopen the account instead.
Two things survive an erasure, because the law requires it: our own invoices to you, which we must keep for six years for the Canada Revenue Agency, and a record that the account existed and when it closed. Neither contains your business records.
Take an export before you close if you want a copy.
9. Acceptable use
Do not use DeskAnchor to break the law, to send unsolicited bulk email, to store or send malicious code, to try to gain access to other customers' accounts or to our systems, or to resell the service as your own without our written agreement.
You are responsible for your use of the email features, including having permission to contact the people you contact.
10. Availability
We work to keep DeskAnchor available and to keep your data safe, and we take regular backups. We do not promise it will never be unavailable. Maintenance, third-party failures and problems outside our control all happen.
We do not currently offer a service level agreement or an uptime guarantee.
11. Third parties
DeskAnchor uses other companies to work. Card payments are handled by Stripe — we never see or store your full card number. If you connect your own mailbox, your email passes through your provider. If you use our card processing to take payment from your own customers, that runs through your own Stripe account under Stripe's terms with you.
12. Limits on our liability
Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
Otherwise, and to the extent the law allows: DeskAnchor is provided as it is; we are not liable for lost profits, lost business, lost data or indirect losses; and our total liability to you in any twelve-month period is limited to what you paid us in that period.
You are responsible for keeping your own copies of anything you cannot afford to lose.
13. Changes to these terms
We may change these terms. If a change materially affects you, we will tell you at least 30 days beforehand by email or in the app. Continuing to use DeskAnchor after a change takes effect means you accept it.
Every version we publish is kept, and we record which version you agreed to and when.
14. Law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, and both of us agree to that.
If a court finds part of these terms unenforceable, the rest still applies.
